These Terms & Conditions apply to purchases made in the course of business, trade or profession.
They apply to companies, sole traders, partnerships, contractors, installers, merchants, public sector organisations and other business customers purchasing from Viessmann Direct.

Definitions
- Goods: the products sold via our Website or sales team.
- Order: your order for Goods submitted online or otherwise agreed in writing.
- Carrier: a third party delivering Goods on our behalf.
- Website: www.viessmanndirect.co.uk and associated pages.
Business Customer Status
- By placing an Order, you confirm that you are purchasing in the course of business, trade or profession.
- Business customers are not entitled to consumer cancellation rights under the Consumer Contracts Regulations 2013.
- If you are purchasing for private, domestic or household use, please refer to our Consumer Terms & Conditions before placing an order.
Orders & Contract Formation
- Product listings and pricing on our Website are invitations to treat and do not constitute binding offers.
- Your Order constitutes an offer to purchase Goods.
- A contract is formed when we issue an order acceptance or dispatch confirmation, whichever is earlier.
- We may decline or cancel Orders prior to dispatch, for example due to stock issues, pricing errors, payment issues, fraud prevention or sanctions compliance.
Prices, VAT & Payment
- Prices are shown inclusive of VAT unless stated otherwise.
- VAT is charged at the prevailing rate.
- Payment terms are as agreed at the time of sale.
- Most Orders are paid at the time of ordering using approved payment methods.
- Alternative payment arrangements may be agreed in writing at our discretion.
- Late payment may incur interest and reasonable recovery costs in line with the Late Payment of Commercial Debts (Interest) Act 1998.
Product Information, Specification & Compatibility
- Product images and descriptions are provided for guidance only and may be updated by manufacturers from time to time.
- You are responsible for ensuring Goods are suitable, correctly specified and compatible with the intended system or application.
- Many heating products and spare parts require professional installation, commissioning and correct system design.
- Trade and business customers are expected to have, or obtain, the technical competence required to specify and use the Goods correctly.
- Where compatibility is critical, customers should verify suitability using appliance serial numbers, manufacturer documentation or competent technical advice before ordering.
- We are not responsible for costs arising from incorrect specification, compatibility assumptions, installation errors, commissioning issues or system design faults.
Delivery
- Delivery options, charges and estimated timescales are confirmed at checkout or in your order confirmation.
- Estimated delivery dates are best efforts only unless expressly agreed in writing as guaranteed.
- Palletised deliveries, including boilers, cylinders and heat pumps, are kerbside deliveries unless stated otherwise.
Delivery Checks & Claims
- You must check Goods promptly on delivery and report any shortages, damage or delivery issues as soon as reasonably possible.
- We recommend retaining packaging and taking photographs where damage is suspected.
Safe Place / No Signature Instructions
- If you instruct the Carrier to leave Goods without signature or in a safe place, delivery is at your risk once completed.
Failed Delivery, Re-delivery & Refused Deliveries
- If delivery fails because no one is available to receive it, re-delivery charges may apply and will reflect actual Carrier costs.
- If you refuse delivery or request return-to-sender after dispatch, you will be responsible for outbound and return carriage and any handling or administration charges imposed by the Carrier or fulfilment centre.
Risk & Title
- Risk in the Goods passes on delivery.
- Title, meaning ownership, in the Goods remains with us until we have received payment in full for those Goods.
- If payment is overdue, we reserve the right to recover the Goods and/or suspend further supply.
Returns
All B2B returns are governed by our Trade Returns Policy and are subject to approval.
Trade Returns Policy
- Unless agreed otherwise in writing, B2B returns must be requested within 30 days of delivery.
- Returns must be authorised in advance and issued with a returns reference number.
- Delivery charges are non-refundable once the delivery service has been fulfilled, unless there is a confirmed delivery issue.
- Returned Goods must be unused, uninstalled, complete and in original manufacturer packaging where applicable.
- Restocking and handling charges may apply where Goods are returned, opened, handled, incomplete or require inspection or testing, and may be up to 25% of the net Goods value to reflect actual costs incurred.
- Special-order or non-stock items may be non-returnable unless agreed in writing.
Faulty Goods & Warranty Claims
- Where applicable, manufacturer warranty processes may apply and may require confirmation by the manufacturer's technical team.
- For installed Goods, you may be asked to provide supporting information such as fault codes, photographs, installation details or a technical ticket reference.
- Manufacturer warranties may be subject to installation, commissioning, registration and servicing requirements.
- Nothing in these Terms excludes liability which cannot be excluded by law; however, Business Customers do not benefit from consumer remedies.
Warranty Information
International Use
- Goods sold are intended for use in Great Britain unless stated otherwise.
- You are responsible for ensuring compliance with local regulations if Goods are exported or used outside Great Britain.
- Manufacturer support and warranty coverage may be limited outside Great Britain.
Russian Federation Export Restrictions
Goods supplied must not be exported, re-exported or resold for use in the Russian Federation, either directly or indirectly, where such Goods are subject to UK sanctions legislation, including the Russia (Sanctions) (EU Exit) Regulations 2019.
By placing an Order, you confirm compliance and agree not to export or re-export contrary to applicable sanctions.
We reserve the right to cancel Orders or take appropriate action if we believe these conditions may be breached.
Intellectual Property
All Website content is owned by us or our licensors and is protected by intellectual property laws.
You may not copy or reuse content except as permitted by law or with our written permission.
Third-party product images and descriptions may be owned by manufacturers or distributors.
Privacy
Our use of personal data is governed by our Privacy Policy.

Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including carrier disruption, extreme weather, strikes, supplier failure, acts of government or other force majeure events.
Limitation of Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
- Subject to the above, we shall not be liable for indirect, special or consequential losses.
- We shall not be liable for loss of profit, loss of business, loss of goodwill, loss of contracts or business interruption.
- We are not responsible for labour costs, installer charges, engineer attendance, downtime, delay costs, replacement hire, loss of use or consequential site costs unless liability cannot be excluded by law.
- Our total liability in respect of any claim shall not exceed the price paid for the Goods giving rise to the claim.
Suspension / Termination
We may suspend supply, cancel Orders or terminate accounts where payment is overdue, payment issues arise, misuse is suspected or sanctions compliance requires it.
No Waiver
Failure by us to enforce any provision of these Terms does not constitute a waiver of our rights.
Severability
If any provision is found unlawful or unenforceable, the remaining provisions remain in full force and effect.
Assignment
We may transfer our rights and obligations under these Terms. You may not transfer your rights or obligations without our written consent.
Changes to These Terms
We may update these Terms from time to time. The version in force at the time of Order will apply to that Order.
Law & Jurisdiction
These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.
